Position:

 

Corporate Counsel or Senior Corporate Counsel, depending on experience of candidate.

We are seeking a highly motivated and energetic corporate counsel to join our legal team.  This associate will support DSW’s various business segments on a broad range of commercial transactions, with a heavy emphasis on structuring, drafting and negotiating contacts. The ideal candidate will have extensive knowledge and experience negotiating a variety of commercial contracts including design and sourcing agreements, license agreements, and franchise agreements.  Experience with issues facing vertical retailers such as intellectual property laws, international sourcing agreements and global compliance is a plus.

Core Responsibilities:

 

  • Culture – living the DSW Values by demonstrating Passion, Accountability, Collaboration & Humility. High integrity is essential.

     

  • Draft and negotiate general corporate and commercial contracts including new vendor supply agreements, wholesale licensing agreements, significant service agreements and international franchise agreements, master service agreements, software licensing and development agreements, marketing, ecommerce, strategic alliances and/or joint venture agreements, professional and hosted services, market research and technology and marketing contracts.

 

  • Provide advertising and marketing counsel for brand and product advertising, including proper IP use, right of publicity, media usage rights, and third-party IP clearance.

     

  • Advise on intellectual property matters including adoption and use of copyrights, trademarks/trade dress and patents with considerations for product development and advertising.

     

  • Advise on global compliance obligations such compliance with the Foreign Corrupt Practices Act and anti-bribery and corruption policies and other applicable laws.

 

  • On a daily basis, provide practical business solutions to DSW partners; identify opportunities to minimize risks, and improve processes  and efficiencies that add value to the business. 

     

  • Advise on regulatory and compliance matters such as FTC advertising guidelines, consumer-facing disclaimers, website terms of use and privacy policies.

 

 

Required Skills and Competencies:

 

  • Adept at providing practical business solutions and strategic advice. Understand the big picture and be willing to constructively challenge the status quo, generate new ideas, and encourage change.

     

  • Strong ability to learn DSW’s business, including understanding financial performance metrics, and solid understanding of DSW’s risk appetite.

 

  • Ability to efficiently identify, assess and prioritize risk, and manage risk accordingly.

 

  • Customer focused, team oriented, dedication to working with and through others to exceed the expectation of the customer (internal and external).

 

  • Experience advising apparel retailers (footwear, handbags and jewelry is a plus).

     

  • Highly adaptable and manages change effectively.

     

  • Solid business and legal judgment.

     

  • Manages for results.  Able to efficiently manage a variety of projects in a timely, efficient manner. 

     

  • Simplifies and processes complex problems, understands underlying issues and addresses root causes, analyzes quantitative information and presents it in an effective way, seeks input from others and makes timely decisions.

 

  • Strong interpersonal and relationship building skills.

 

  • Excellent written and verbal communication skills and demonstrated ability to influence others.

 

  • Models and supports DSW’s values of passion, accountability, collaboration and humility.

 

  • Willingness to travel periodically, including to our Camuto offices in New York City and Greenwich, Connecticut.

 

Qualifications

 

  • Minimum of 10 years’ experience, preferably working with a public company or a mid to large sized law firm.

     

  • Licensed to practice in at least one state, preferably Ohio or New York.

 

  • JD.
